Terms of Use

These Terms and Conditions (the “Terms”) govern your access to and use of https://getgain.com (the “Site”). The Site is operated by Gain AI Ltd., an Israeli company (Company No. 517074183) with offices at Derech Hashalom 2, Tel Aviv-Yafo, Israel (“Gain” “we”, “us” or “our”).

By accessing or using the Site, you agree to be bound by these Terms and the Privacy Policy. If you do not agree, do not use the site.

  1. Introduction and Acceptance of Terms

Welcome to Gain AI! These Terms of Use (the “Terms”) govern your access to and use of the Site, which provides information about Gain’s proprietary artificial intelligence software and services, including our AI employees designed to optimize procurement functions.

These Terms govern your access to and use of the Site only. Any products, software, services, platform features, use of AI employees, or other offerings that Gain may provide, whether referenced on the Site or otherwise, will be subject to separate agreements, order forms, service terms, or other binding terms and conditions. Unless expressly stated otherwise in such separate agreement, these Terms do not govern the provision or use of such products or services.

The Site is not intended for children under the age of 13.

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated into and forms an integral part of these Terms.

  1. Definitions

The following terms, when used in these Terms, shall have the meanings set forth below:

“Affiliate” of a Party: Any entity that directly or indirectly controls, is controlled by, or is under common control with such Party, where “control” means the ownership of more than 50% of the voting stock or other equity interest, or the power to direct the management and policies of such entity.

“Content”: Collectively, all information, data, text, images, graphics, audio, video, code, and software made available through the Site, including Gain Materials and User Content.

“Documentation”: All manuals, descriptions, drawings, guidelines, or other documents, whether digital or physical, provided by Gain relating to the use and operation of the Site, and/or describing its services.

“Gain Materials”: All Content created and published by Gain and its Affiliates.

“Party”: Refers individually to Gain or You, and collectively to both.

“User”, “You”, “Your”: Refers to the individual or entity accessing or using the Site.

“User Content”: Any content, such as comments, blog posts, reviews, or other materials, posted or submitted by Users to any public-facing sections of the Site.

  1. Overview of Gain’s Offerings

The Site provides general information about Gain’s proprietary platform that leverages intelligent AI employees, to deliver advanced procurement assistance and optimization solutions. This section offers a general overview of the types of services and functionalities that Gain offers to support, augment, and streamline procurement functions.

  1. Permitted and Prohibited Uses on the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms.

  1. Permitted Use:
    1. You may access and use the Site for informational purposes related to Gain’s business, services, and career opportunities.
    2. You may download, store, display, and print Gain Materials from the Site exclusively for your internal, non-commercial, informational purposes, provided that such materials remain unmodified and retain all copyright and proprietary notices.
    3. You must comply with all applicable laws and regulations, as well as any guidelines or policies made available by Gain regarding the use of the Site.
  2. Prohibited Uses and Restrictions: 

You agree not to use the Site, or allow others to use it, in any way that is unlawful, fraudulent, harmful to others, false, misleading, or deceptive, or in any way that could interfere with, disrupt, damage, compromise, or impair the proper operation, integrity, performance, security, or availability of the Site or any related systems, networks, infrastructure, or data. Without limiting the foregoing, You may not attempt to gain unauthorized access to the Site or its related systems, probe, scan, or test the vulnerability of the Site, circumvent or defeat any security or authentication measures, introduce malicious code, or otherwise interfere with the operation or functionality of the Site.

Without limiting the generality of the foregoing, You may not use any Content, Gain Materials, or other materials made available on or through the Site in any manner that is false, misleading, defamatory, deceptive, or otherwise likely to create confusion or imply any inaccurate affiliation with, endorsement by, or sponsorship from Gain or any third party.

You may not use any robot, spider, scraper, crawler, data mining tool, harvesting tool, or other automated means to access, extract, collect, copy, monitor, or compile any Content, data, or materials from the Site for competitive purposes, to develop, train, benchmark, or improve any competing product or service, or in any manner that could impair, disrupt, overload, or interfere with the operation or functionality of the Site.

  1. Intellectual Property Rights
    1. Gain’s Proprietary Rights: 

You acknowledge that the Site, the Gain Material, the Content, the underlying software, any AI model mentioned, and all associated materials and intellectual property (collectively, “Gain IP”) are owned by Gain or its licensors. This includes all forms of intellectual property rights, whether registered or unregistered. Your use of the Site does not grant You any ownership right in the Gain IP.

  1. User Content Ownership:

You confirm that You have all necessary rights and permissions to provide the User Content to Gain as contemplated by these Terms.

Any User Content shall be exclusively owned by Gain. You shall assign to Gain, without further compensation, all User Content, and You hereby waive any and all moral rights You may have in or with respect to such User Content. 

Notwithstanding the foregoing, to the extent that any rights in or to any User Content may not be assigned to Gain, You hereby grant Gain a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to reproduce, modify, distribute, display and otherwise use Your User Content for the purposes of operating, promoting, and improving the Site and its related services, and/or for any other legitimate business activities, all subject to our Privacy Policy. 

  1. Feedback:

You confirm that You have all necessary rights and permissions to provide the Feedback to Gain as contemplated by these Terms.

If You provide any feedback, suggestions, or ideas regarding the Site or Gain’s services (“Feedback”), such Feedback shall be exclusively owned by Gain. You shall assign to Gain, without further compensation, all Feedback, and You hereby waive any and all moral rights You may have in or with respect to such Feedback. 

Notwithstanding the foregoing, to the extent that any rights in or to any Feedback may not be assigned to Gain, You hereby grant Gain a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to reproduce, modify, distribute, display and otherwise use Your Feedback for the purposes of operating, promoting, and improving the Site and its related services, and/or for any other legitimate business activities, all subject to our Privacy Policy. 

  1. Data Privacy and Protection

Your privacy is important to us. Our Privacy Policy, available on our website, is incorporated into and forms an integral part of these Terms.

  1. Third-Party Services and Links

The Site may contain links to external websites, applications, or services (“Third-Party Services”) that are not owned or controlled or operated by Gain. Gain has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any Third-Party Services. You acknowledge and agree that Gain shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such Third-Party Services. We strongly advise You to read the terms and conditions and privacy policies of any Third-Party Services that You visit or use otherwise.

  1. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR PERFORMANCE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

Furthermore, while the Site provides general information about Gain’s proprietary artificial intelligence software and services, including its AI employees, this information is provided for illustrative and informational purposes only. Gain makes no warranties or representations regarding the accuracy, completeness, or reliability of any information about the Gain Materials, Content, Gain’s product and services, and/or its AI services presented on the Site, nor does it guarantee specific results or outcomes from the use of such services. Any descriptions of AI capabilities or outputs are general in nature and do not constitute an offer for specific services or a guarantee of performance. The actual terms, conditions, and limitations for the use of Gain’s products and services are governed by separate agreements.

  1. Limitation of Liability
    1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GAIN OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR ACCESS TO USE OF, MISUSE OF, RELIANCE ON, OR INABILITY TO USE THE SITE OR ITS CONTENT, OR ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SITE, EVEN IF GAIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, GAIN’S LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
    2. IN NO EVENT WILL GAIN’S MAXIMUM AGGREGATE LIABILITY UNDER THESE TERMS FOR ANY DAMAGES, LIABILITIES, SUITS, CLAIMS, LOSSES AND EXPENSES, EXCEED THE AMOUNT OF US$ 500.
  2. Indemnity

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Gain and its directors, officers, employees, affiliates, and agents from and against any and all claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your access to or use of the Site in breach of these Terms, (b) your violation of any applicable law or regulation, or (c) your infringement of any rights of any third party.

  1. Changes to the Site or the Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may update these Terms from time to time by posting the updated Terms on the Site and updating the “Last updated” date. Your continued access to or use of the Site after such modification constitutes your acceptance of the revised Terms. If You do not agree to the revised Terms, You must stop using the Site.

  1. GOVERNING LAW; JURISDICTION

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws principles. The competent courts in Tel Aviv-Yafo, Israel shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site. You irrevocably waive any objection based on lack of personal jurisdiction, improper venue, or forum non conveniens, and agree that service of process may be effected in any manner permitted by applicable law.

  1. Miscellaneous
    1. These Terms constitute the entire agreement between You and Gain regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
    2. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.
    3. No waiver by Gain of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Gain to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
    4. Gain may assign its rights and obligations under these Terms, in whole or in part, at any time without notice to You.
    5. The headings in these Terms are for convenience only and shall not affect their interpretation

  1. SUSPENSION; TERMINATION; ENFORCEMENT

We may, with or without reason, in our sole discretion, suspend, restrict, or terminate your access to the Site (in whole or in part) at any time, with or without notice, including without limitation if we reasonably believe that you have violated these Terms, that your use of the Site may create risk for Gain or any third party, or that suspension or termination is required for security, legal, or regulatory reasons. We may investigate violations of these Terms and may cooperate with law enforcement authorities, as applicable.
